Key terms

Please read these points in particular; the sections below explain each one.

• AI output. Viszy generates images, video and audio with AI. Results can be inaccurate or unsuitable, and you are responsible for checking them and for how you use them, including on marketplaces.
• Your inputs. You are responsible for the photos, prompts and other material you upload, and confirm you have the rights to use them.
• Changes and suspension. We may change features, models, plans, usage limits, prices and these terms, and suspend or end access, as these terms explain.
• Renewal and refunds. Paid plans renew automatically until you cancel. The Refund Policy explains cancellation and refunds.
• Business customers. If you use Viszy for a business, the service is provided "as is"; our liability is capped at the fees you paid in the 12 months before the claim; you indemnify us; claims must be brought within one year; and the courts of England and Wales have exclusive jurisdiction.
• Consumers. If you are a consumer, you keep your statutory rights, and nothing in these terms limits them.

Who we are, and these terms

Viszy is provided by Sylphx Limited, a company registered in England and Wales (company number 16438428) ("we", "us"). Registered office: 128 City Road, London EC1V 2NX. By creating an account or using Viszy ("the Service") you agree to these terms, the Acceptable Use Policy and the Refund Policy. If you use Viszy for a business, you confirm you may bind that business, and "you" includes it.

You are a consumer if you use Viszy wholly or mainly for purposes outside your trade, business, craft or profession. Sections marked "business customers" apply only to people who are not consumers.

Description of Service

Viszy is an AI service that makes product photos, listing images, short promo videos and voiceovers from the photos and descriptions you provide. We may change, add or remove features, templates, AI models and providers, plans and usage limits, and suspend or withdraw the Service or any part of it, for example for maintenance, security, legal or business reasons. If a change materially reduces what a paid plan gives you, we tell you in advance, and you may cancel and receive a refund of fees prepaid for the time after the change.

Accounts

You must be 18 or over. Keep your credentials confidential, tell us promptly if you believe your account has been misused, and give accurate information. You are responsible for all activity under your account.

Acceptable Use

You must follow the Acceptable Use Policy. In particular, do not use Viszy for anything illegal, do not upload material you have no right to use, and do not generate content that infringes others' rights, deceives buyers, or breaks marketplace rules.

Your Content and Outputs

Inputs. You keep ownership of what you upload. You give us a worldwide, royalty-free, non-exclusive licence to host, copy, process and transmit it, including to our AI model providers, to provide, secure and support the Service and to improve it. You confirm you have all rights and permissions needed for us to do so.

Outputs. As between you and us, you own the images, video and audio generated for you, to the extent any rights exist in them, and you may use them as your plan allows: the Free plan for personal use with a watermark, paid plans commercially. Similar or identical outputs may be generated for other users, and we give no assurance that an output is unique or that it does not infringe third-party rights.

Feedback. If you send us ideas or feedback, you give us a perpetual, irrevocable, worldwide, royalty-free licence to use them.

We may use aggregated or de-identified data about use of the Service for any purpose.

Our Technology

The Service, its software, models, designs and content (other than your inputs and outputs) belong to us or our licensors. You may not copy, reverse engineer or resell it, except where the law allows. All rights not expressly granted are reserved.

Payment and Subscription

• Paid plans are billed in advance through Stripe. Prices include VAT where it applies.
• Plans renew automatically at the end of each month or year until you cancel in your account.
• We may change prices. We tell you in advance, before a new price applies to your next renewal, and you can cancel before then.
• Payments are non-refundable except as the Refund Policy or the law provides. The Refund Policy explains the 14-day cancellation of a first subscription.

Suspension and Termination

You can stop using Viszy and delete your account at any time.

We may suspend or end your access, or remove content, immediately if we reasonably believe you have broken these terms or the Acceptable Use Policy, have not paid, create a security, legal or reputational risk, or where the law requires. We may also end your access for any other reason by giving you reasonable notice. If we end a paid plan for a reason other than your breach, we refund fees prepaid for the time after it ends. You can download your creations until your account is deleted; after that, they are deleted as the Privacy Policy describes.

Disclaimers

Business customers. The Service and all outputs are provided "as is" and "as available". To the fullest extent the law allows, we exclude all warranties, conditions and terms implied by statute, common law or otherwise, including as to satisfactory quality, fitness for purpose, accuracy and non-infringement.

Consumers. We supply the Service with reasonable care and skill and as described, as the law requires. We do not promise that it will be uninterrupted or error-free, or that AI outputs will be accurate, unique or suitable for your purpose.

Limitation of Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

Business customers. Subject to the paragraph above, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for: (a) any loss of profits, revenue, sales, business, contracts or goodwill; (b) any loss or corruption of data or content; (c) any loss arising from AI outputs or your use of them, including marketplace listing removals or account actions; (d) any loss caused by third-party services; or (e) any indirect or consequential loss. Our total liability arising out of or in connection with these terms and the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Consumers. We are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, for loss caused by events outside our reasonable control, or for business losses. If digital content we supply damages your device or other digital content because we did not use reasonable care and skill, we will repair the damage or pay you compensation.

Indemnity (business customers)

You will indemnify us, our officers and staff against all claims, losses, damages, costs and expenses (including reasonable legal fees) arising from your inputs, your outputs and their use, your use of the Service, or your breach of these terms or the law.

Claims (business customers)

A business customer must bring any claim within one year after the cause of action arises, or the claim is barred. To the extent the law allows, claims may be brought only individually, not as a class, group or representative action.

Changes to These Terms

We may change these terms, for example to reflect changes to the Service, the law or our business. We post the new version here with a new date.

• Consumers. If a change materially affects you, we tell you in advance. If you do not accept it, you can cancel before it applies and receive a refund of fees prepaid for the time after it applies.
• Business customers. Changes apply from the date we post them or any later date we give.

General

We may assign or subcontract our rights and obligations under these terms. If we transfer them to another organisation, we tell you, and a consumer who is unhappy can cancel. You may not transfer your rights or obligations without our written consent. If a court finds part of these terms unenforceable, the rest stays in force. A delay in enforcing a term is not a waiver. Terms that by their nature should survive the end of this agreement do. For business customers, these terms, the Acceptable Use Policy and the Refund Policy are the entire agreement and you have not relied on any statement not in them, but nothing limits liability for fraud.

Governing Law

These terms are governed by the law of England and Wales.

• Business customers. The courts of England and Wales have exclusive jurisdiction.
• Consumers. You can bring a claim in the courts of England and Wales, or in your local courts if you live in Scotland, Northern Ireland or another country, and you keep the protection of the mandatory consumer law of the place you live.
